These Terms of Service (“Terms”) govern your access to and use of the WiseROAS website, software, reporting tools, analytics, automation features, and related services (collectively, the “Service”) provided by WiseROAS (“WiseROAS,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms.

1. Use of the Service

You may use the Service only in compliance with applicable law and these Terms.

You may not:

• use the Service for any unlawful, fraudulent, or unauthorized purpose;
• interfere with or disrupt the Service;
• attempt to gain unauthorized access to any account, system, or data;
• copy, reverse engineer, resell, or exploit the Service except as permitted by law or with our written permission.

2. Customer Accounts and Authorization

You are responsible for ensuring that any information you provide is accurate and that you have authority to connect or authorize access to any advertising, analytics, e-commerce, or other third-party accounts used with the Service.

If you connect third-party platforms to WiseROAS, you grant us permission to access and use data made available through those platforms solely to provide and improve the Service.

3. Third-Party Platforms

The Service may integrate with third-party platforms such as Amazon Ads, Walmart Advertising, Google Ads, Meta Ads, Shopify, and other services.

Your use of those third-party platforms is governed by their own terms and policies. WiseROAS is not responsible for third-party platforms or any changes, interruptions, or limitations in their availability, APIs, policies, or features.

4. Intellectual Property

The Service, including its content, software, design, trademarks, and related materials, is owned by WiseROAS or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not use, reproduce, distribute, modify, or create derivative works from the Service without our prior written consent.

5. Confidentiality

We will treat non-public customer information obtained through the Service as confidential and use it only as reasonably necessary to provide and improve the Service, comply with law, and enforce our agreements.

You agree not to disclose any non-public information about the Service, including pricing, technical documentation, product details, or other confidential business information we provide to you, except as required by law.

6. Data and Privacy

You retain ownership of your data. You grant WiseROAS a limited right to access, use, host, process, and display your data solely as necessary to provide, maintain, secure, support, and improve the Service.

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

8. Disclaimer

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, WiseROAS disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will meet your requirements or achieve any particular business result.

9. Limitation of Liability

To the fullest extent permitted by law, WiseROAS will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to the Service.

To the fullest extent permitted by law, WiseROAS’s total liability arising out of or related to the Service will not exceed the amount paid by you to WiseROAS for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100) if no fees were paid.

10. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, created risk for us or others, or used the Service in an unauthorized manner.

You may stop using the Service at any time.

Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitation of liability, and governing law.

11. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the “Last Updated” date. Your continued use of the Service after any update becomes effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws principles.
